Restaurant Partner Agreement

Partnership Overview

This agreement governs the relationship between Dory ("Platform") and your restaurant ("Partner"). By joining Dory, you agree to these terms and conditions.

Commission Structure & Revenue Breakdown

Commission Rate: 10–15%

  • Early Partners (0–6 months): 10% commission on food subtotal (you keep 90%)
  • Standard Rate (6+ months): 15% commission on food subtotal (you keep 85%)
  • What's Included: Order management, customer support, delivery coordination
  • What's Not Included: Payment processing (Stripe covers this separately)

Example: $100 food order (early partner)

Payouts & Payments

Weekly Payouts

  • • Payouts are processed every Monday for the previous week's earnings
  • • Funds are transferred via Stripe Connect to your bank account
  • • Deposits typically clear within 1–2 business days
  • • You can view payout history in your Dory dashboard at any time

Note: Commission is calculated on the food subtotal only. Delivery fees, tips, and platform fees are not subject to commission.

Menu & Operations

  • You must keep menu items, prices, and availability current
  • You are responsible for food quality, preparation, and compliance with health codes
  • You must maintain accurate operating hours and accept orders only when you can fulfill them
  • You are responsible for managing your POS system integration (if applicable)
  • Dory may suspend your account if orders are consistently late or quality is poor

Customer Disputes & Refunds

Dory handles customer support and dispute resolution. Refund liability is split as follows:

  • Quality Issues (cold food, missing items, wrong order): Refund deducted from your next payout
  • Delivery Issues (driver accidents, lost order): Dory covers the delivery cost; you cover food cost
  • Billing Disputes: Dory investigates and determines liability within 5 business days

Termination

Either party may terminate this agreement at any time with 30 days written notice.

  • All outstanding earnings will be paid out on the next scheduled payout day
  • Your restaurant will be removed from the Dory platform immediately upon termination
  • You may reapply to join Dory after termination, but approval is not guaranteed

Immediate Termination: Dory may terminate without notice if you engage in fraud, harassment, illegal activity, or repeatedly violate these terms.

Liability & Disputes

  • Dory is not liable for driver conduct, customer behavior, or third-party actions
  • You are responsible for food safety, allergen labeling, and health code compliance
  • Disputes are governed by Alaska law and must be resolved through good-faith negotiation
  • Either party may pursue legal action if negotiation fails

Compliance & Marketing

  • You grant Dory permission to use your restaurant name, logo, and menu photos for marketing
  • You must comply with all local, state, and federal food safety regulations
  • You must not make false claims about food quality, ingredients, or sourcing
  • Dory reserves the right to remove restaurants that violate local regulations
